DolphinEnergy is accountable to its three
shareholders,who sit on theBoardofDirectors
andalsoact throughaGeneral Assembly that
meets annually to reviewandapprove theBoard
report, annual company report, external auditors’
report, and theappointment of external auditors.
A 10-memberBoardofDirectors chairedbyHis
HighnessSheikhHamdanBinZayedAl Nahayan
overseesDolphinEnergy. Thedutiesof theBoard
ofDirectors are:
• Appoint executivemanagement
• Approveannual budget andbusinessplanproposedby
themanagement
• Ensure the companyactswith integrity
• OverseeDolphinEnergy’s approach to riskmanagement
• Monitor the company’soverall performance
Ninetypercent of theBoard comprisesnon-
executives, except for theManagingDirector.
TheBoardofDirectorsmeets at least twice
per year andhas four advisory committees:
theFinanceCommittee, theAudit, Riskand
ComplianceCommittee, theCompensation
Committeeand theProjectReviewCommittee,
which reviewsHSE&S, technical, andoperational
aspectsof theDolphinGasProject.
Everyyear, DolphinEnergyholds aCEO-staff
meeting inbothQatar andKuwait,where the
company’smanagement engagewith the
employeeswho in turn canopenly raise concerns
andprovide feedbackand suggestions to the
company’smanagement.
